Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Antology platform, website at antology.ai, and related services (collectively, the "Service") provided by Antology ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, clicking "I agree," or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not access or use the Service.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

Antology provides an AI-powered logistics optimization platform that enables businesses to plan routes, manage fleet operations, dispatch drivers, monitor deliveries in real time, and analyze operational performance. The Service may include web applications, APIs, mobile applications, and associated tooling.

3. Accounts & Access

You must register for an account to use most features of the Service. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us immediately at legal@antology.ai if you suspect unauthorized access.

We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period.

4. Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service in any way that violates applicable law or regulation
  • Attempt to reverse-engineer, decompile, or extract source code from the Service
  • Use automated means to access the Service beyond normal API usage
  • Introduce malicious code, viruses, or other harmful material
  • Use the Service to process data in violation of third-party rights or applicable privacy laws
  • Resell or sublicense access to the Service without prior written consent

5. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of information as described in the Privacy Policy.

You retain ownership of all data you submit to the Service ("Customer Data"). You grant us a limited license to process Customer Data solely to provide and improve the Service. We will not sell Customer Data to third parties.

6. Intellectual Property

Antology retains all rights, title, and interest in and to the Service, including all underlying software, algorithms, models, interfaces, and documentation. These Terms do not grant you any rights in Antology's intellectual property except the limited right to use the Service as set forth herein.

Feedback you provide about the Service may be used by us without restriction or compensation to you.

7. Subscription & Payment

Access to certain features of the Service requires a paid subscription. Subscription fees, billing cycles, and payment terms are set forth in your order form or subscription agreement. All fees are non-refundable except as required by law or as expressly stated in your agreement.

We reserve the right to change pricing with at least 30 days' prior written notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. Route optimization and AI-generated recommendations are provided as decision-support tools; you remain responsible for operational decisions made using the Service.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANTOLOGY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Termination

Either party may terminate these Terms at any time. You may stop using the Service and close your account. We may suspend or terminate your access if you breach these Terms, with or without notice depending on the severity of the breach.

Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination — including intellectual property, disclaimers, and limitation of liability — will survive.

11. Governing Law

These Terms are governed by the laws of the jurisdiction in which Antology is incorporated, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration, except that either party may seek injunctive relief in a court of competent jurisdiction.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice within the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
